Overview

Orrick currently has an excellent opportunity for a Senior Corporate Governance Analyst. This position could be based in any of our U.S. offices (Austin; Chicago; Boston; Houston; Los Angeles; New York; Menlo Park; Orange County; Portland; Sacramento; San Francisco; Santa Monica; Seattle; Washington DC; or Wheeling, WV) and consideration given for 100% remote US locations.

Orrick is hiring a Senior Corporate Governance Analyst, who will join our market-leading Public Companies and ESG practice. The Senior Corporate Governance Analyst will be a key member of our team in a non-legal role, and will work directly with Orrick attorneys and staff on a broad range of workstreams. Responsibilities will include developing and supporting corporate governance offerings for our clients, including corporate governance research and analysis, proxy advisory and reporting, ESG research and benchmarking, and ad hoc client requests. The Senior Corporate Governance Analyst will have specialized knowledge of corporate governance practices and trends and shareholder engagement. Using established research and analytics skills, the Senior Corporate Governance Analyst will play a critical role in independently executing on internal and client deliverables, and will be a key support in the ongoing development of our growing practice.

This position will have significant exposure to public companies, investment managers, and a wide range of privately held portfolio companies. Discretion, integrity and respect for confidential information are essential.

The Senior Corporate Governance Analyst will report directly to the Director of ESG and Corporate Governance, and will work in close partnership with attorneys and other staff in the ESG Group and other experts at the firm to support ESG Group and client goals.

Responsibilities
    Lead cross functional resources to identify, develop and execute corporate governance-related solutions based on client requests and emerging corporate governance trends, including the identification, onboarding, and improvement of relevant tools, processes and methods for data collection, analysis, and reporting
  • Prepare and present client-facing reports and recommendations on key corporate governance topics and trends based on independent research, fact finding, and analysis, including the preparation of written reports and other client-facing work product
  • Provide support to clients in the preparation of key disclosures, including proxy statements, opposition statements, and sustainability reports, with responsibilities including the drafting of key corporate governance and ESG disclosure items
  • Prepare thought leadership on corporate governance trends and developments, and prepare advice, training and presentations for client management and directors regarding specific corporate governance topics, for instance on overboarding policies or proxy access
  • Represent Orrick in various client and marketing forums, including hosting webinars, presenting at client events, and attending industry conferences
  • Stay informed of corporate governance-related trends, including changes in key proxy voting guidelines, relevant rules and regulatory requirements, and trends in shareholder proposals and activism
Qualifications

Position Competencies:

  • Knowledge of corporate governance practices and trends is required, and of shareholder activism and ESG practices is preferred
  • Strong research, writing, and presentation skills, including attention to detail, accuracy of research and analysis, and exercising independent judgement in client-facing work product
  • Able to deliver strong customer service, commit to meeting deadlines, and multitask in a dynamic environment
  • Able to understand law firm processes and attorney-client relationships
  • Appropriately prioritize to independently execute tasks across several projects with complex variables and budgets
  • Ability to collaborate with teams of partners, associates and other professionals at all levels
  • Exhibit a high degree of initiative
  • Ability to research, collect, manipulate, and analyze data

Qualifications:

  • Bachelor's degree or equivalent work experience is required
  • Master's degree preferred
  • 6+ years of experience in corporate governance, proxy advisor or solicitation, market research, consulting, or other related fields, with experience in sustainability or ESG reporting and research preferred
  • Effective communication and writing skills, together with an exceptional attention to detail

Compensation and Benefits

The expected salary range for this position is:

  • California Major Markets* $88,000 - $144,000
  • New York City $93,000 - $144,000
  • National $83,000 - $129,000

* California Major Markets includes San Francisco, Silicon Valley, Los Angeles, Orange County, Santa Monica. All other California locations fall within National range.

Orrick is committed to providing a comprehensive, competitive, and thoughtful total compensation package to our attorneys and staff, wherever they work. This compensation and benefits information is based on the Orrick's estimate as of the date of publication and may be modified in the future. The level of pay within the range will depend on a variety of job-related factors that may include, but not limited to, qualifications, relevant experience or education, particular skills or expertise, geography. Other compensation may include an annual discretionary merit bonus, which would be determined by Firm and individual performance.
